This Studio License Agreement ("Agreement") governs the use of The Art of Practice Studios product ("Studios") by an approved studio owner ("Licensee") and the students the Licensee invites under that license ("Licensed Students"). It supplements the Terms of Service and the Privacy Policy.
Subject to the terms of this Agreement and the Licensee's active, paid-up subscription, we grant the Licensee a non-exclusive, non-transferable, revocable license to provide access to the full Art of Practice application ("Service") to the number of Licensed Students permitted by the Licensee's tier:
Seat caps are enforced at the time of invitation and at acceptance. We may revise tier ceilings on prospective new applications; existing studios keep the tier ceiling in force at the time of their application.
New studio subscriptions include a 30-day trial period from the moment the Licensee initiates checkout. The Licensee will not be charged during the trial. If the Licensee does not cancel before the trial ends, the subscription renews automatically at the chosen tier and cadence (monthly or annual). Billing is processed by Stripe. Failed payments will result in retry attempts and, if unresolved, eventual cancellation.
The Licensee may cancel the studio subscription at any time. Cancellation takes effect at the end of the current billing period. After cancellation:
The Licensee warrants that every individual invited under the studio license is 16 years of age or older. We do not support minors under 16 on Studios. Each Licensed Student must independently confirm their age and consent to data-sharing terms at the time they accept the invitation. The Licensee is responsible for not enrolling ineligible students.
For Licensed Students' personal data (name, email, practice activity), the Licensee acts as the Data Controller for the studio context, and The Art of Practice acts as the Data Processor handling the underlying systems. The Licensee is responsible for using student data in accordance with applicable privacy law (including GDPR, where applicable) and only for legitimate teaching purposes.
At invitation acceptance, each Licensed Student must explicitly and separately consent to:
Both consents are required for the invitation to be accepted. Each consent is recorded independently with the exact text shown to the student and the timestamp of acceptance. If a Licensed Student is removed from the studio (or the studio cancels), the Licensee's visibility into that student's practice data ends.

We may, at our discretion, grant a studio a free-access window (time-bounded or indefinite). During such a window, billing is paused and the studio retains full access. We may end a free-access window at any time, with reasonable notice; the studio's subscription state and billing resume per Stripe defaults.
We may suspend or terminate a studio license for any of the following, with or without prior notice:
On termination, Licensed Students enter the Grace Period described in Section 3.
To the maximum extent permitted by law, our total liability under this Agreement is limited to the fees paid by the Licensee in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of teaching time, business interruption, or data lost outside of our reasonable control.
We may update this Agreement from time to time. Material changes will be communicated to studio owners by email at least 30 days before they take effect. Continued use of the studio license after the effective date constitutes acceptance.
This Agreement is governed by the laws of Hungary, without regard to conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of the courts of Budapest, Hungary.
